Terms of Use

The short version: Formation is a game. You keep your own stocks in your own wallet and sign every trade yourself. There's no prize money, and nothing in the app is investment advice.

1. About these terms

These terms are an agreement between you and Tita Labs LTD ("Formation", "we", "us"), which runs the Formation app for Android and the web and this website. By connecting a wallet or otherwise using Formation, you agree to them. If you don't agree, please don't use Formation.

Our Privacy Policy explains what we do with your information and forms part of these terms.

2. What Formation is

Formation is a fantasy sports game. Your "players" are tokenized assets that you hold in your own Solana wallet. Your team scores points when its picks do better than the market. The full rules are in the app under How to play.

• It is a game of skill. There is no entry fee, no prize pool and no pooled money. Winning earns a place on a leaderboard and bragging rights, never money or assets.
• It is not investment advice. Scores, ratings, rankings, health cards, news summaries and anything the Assistant Manager says are part of the game. They are not recommendations to buy, sell or hold anything.
• We are not a broker, dealer, exchange or investment adviser. We don't hold your assets, trade for you or execute orders on your behalf.

3. Who can play

You can use Formation only if:

• you are at least 18 and able to enter a binding agreement;
• you are allowed, where you live, to hold and trade tokenized stocks and to use the other services Formation connects you to. xStocks are not offered to US persons or to people in certain other countries. It is your responsibility to check the rules that apply to you;
• you are not on a sanctions list and not acting for anyone who is.

We may limit or block features, such as buying, in places where we believe they are not allowed.

4. Your wallet and your stocks

• Formation is non-custodial. Your stocks, USDC, SOL and SKR stay in your own wallet. We only read your wallet's public balances to build your team.
• Every transaction is approved and signed by you, in your wallet. We cannot move your assets.
• You are responsible for your wallet, its recovery phrase and its security. We cannot recover a lost wallet or reverse a transaction.
• Blockchain transactions are final. Network fees are paid to the Solana network, not to us.
• The value of any holding can fall as well as rise, and you may get back less than you paid. Tokenized stocks carry their own risks, set out by their issuer.

5. Buying and selling stocks in the app

• When you buy or sell in the app, the trade is a swap built through Jupiter, a third-party Solana exchange aggregator, and signed by you. Purchases are paid in USDC, SOL or SKR; sales are paid out in USDC to your wallet.
• We show the expected amount before you sign, but the final result can differ because of market movement and slippage.
• Some stocks trade very little. A trade in a thin market can cost far more than the stock's displayed price suggests; the expected amount shown before you sign is the best guide.
• A trade can include a small Formation fee, taken from what you pay or what you receive. If it does, it is shown before you sign.
• Formation does not set the price of any asset and does not guarantee that a trade will go through.
• We don't sell or provide USDC or SOL. Any guide in the app on adding money to your wallet points to services run by others (your wallet app or an exchange), whose own terms apply.

6. The Assistant Manager and credits

• The Assistant Manager is an AI helper. Its answers are generated automatically and can be wrong, out of date or incomplete. Check anything important yourself. You always make the call.
• Some features use credits, which you buy with SKR from your wallet. Credits have no cash value, can't be transferred or sold, and are used only inside Formation.
• Credits aren't refundable, except that a request which fails on our side returns its credits automatically.
• If you make a custom Assistant Manager from a photo, you must have the right to use that photo, and it must be of you or of someone who has agreed. See the Privacy Policy for how the photo is handled.

7. Scores, leagues and leaderboards

• Scores are calculated from price data supplied by third parties. Prices can be late, missing or wrong, and a stock whose market is thin (where a small trade moves the price a lot) can move sharply. The limits on how much a single price move can count apply to every stock.
• Each stock's tier (blue chip, balanced or momentum), which decides the positions it can play, is set by a formula on its recent price behaviour and can change from one season to the next.
• Points banked before a season starts (the pre-season) don't count toward that season.
• If you ask the app to build your team from what you hold, it only places stocks you already own, in a team that has no players yet. You can change any pick afterwards.
• We may correct a score that was calculated wrongly, including after a match week or season has ended, and adjust rankings to match.
• We may change the rules, positions, scoring and limits to keep the game fair and fun. The current rules are always in How to play, in the app and on this site.
• Some teams in the global league may be run by Formation so that leagues are lively from the start.
• Your username, lineup, scores and league results are public to other players.

8. Playing fairly

You agree not to:

• use bots, scripts or several accounts to gain an advantage, or exploit a bug instead of reporting it;
• interfere with Formation, its servers or other players, or try to get around rate limits or security;
• choose a username, bio, league name or photo that is unlawful, hateful, misleading or impersonates someone else;
• use Formation for anything unlawful, including market manipulation.

We may remove content, reset scores, or suspend or close accounts that break these rules.

9. Other services we rely on

Formation connects you to services run by others, including wallet apps, the Solana network, Jupiter, the issuer of xStocks, and Google (for the Assistant Manager and notifications). Their own terms apply to your use of them, and we are not responsible for them.

10. Changes and ending your use

• We may change or stop any part of Formation. We'll try to give notice of big changes.
• We may update these terms. If the changes are significant, we'll tell you in the app. If you keep playing after that, the new terms apply.
• You can stop using Formation at any time by disconnecting your wallet. To have your account deleted, contact us (section 13).

11. Disclaimers and liability

Formation is provided "as is" and "as available". As far as the law allows, we make no promises that it will be uninterrupted, error-free or accurate, and we are not liable for losses from market movements, trading decisions, price data, blockchain or wallet failures, third-party services, or anything the Assistant Manager says.

As far as the law allows, our total liability to you for any claim about Formation is limited to the amount you paid us for credits in the 12 months before the claim. Nothing in these terms limits liability that can't be limited by law, or your rights as a consumer where you live.

12. Governing law

These terms are governed by the laws of [country / state], and the courts of [place] have jurisdiction, unless the law where you live gives you the right to bring a claim there.
